Terms of business

Draft

Not yet reviewed by a solicitor. Do not rely on this text.

These terms apply to work done by Carse AI, a trading name of Noel Pope, Edinburgh ("Carse AI", "I"). They are governed by Scots law, and the Scottish courts have jurisdiction, except that a consumer may also rely on the courts and mandatory consumer law of the part of the UK where they live.

1. Who you are

You are a consumer if you buy wholly or mainly outside your trade, business, craft or profession. Everyone else is a business client. Where these terms give consumers extra rights, those rights apply to consumers buying any of the services here, not only workshop seats. Nothing in these terms takes away a consumer's statutory rights, and consumer law overrides anything here that conflicts with it.

2. Scope

Every job starts with a written proposal that says what you get, when, and for how much. Any change is agreed in writing. Software subscriptions and licences (for example Microsoft 365 Copilot, ChatGPT Business, Claude Team or Gemini for Google Workspace) are bought by you directly from the vendor and are not included in Carse AI's prices.

3. Payment

4. Your right to cancel (consumers)

If you are a consumer and you bought at a distance (for example by email, online or by phone) or away from Carse AI's premises, you have the right to cancel until the end of 14 days after the day the contract was made, without giving a reason.

How to cancel. Tell me in a clear statement before the 14 days end, by email to hello@carse.dev. You may use the model cancellation form below, but you don't have to.

Refund. I will refund everything you have paid, by the same method you paid with, within 14 days of the day I receive your cancellation.

Starting within the 14 days. If you want work, coaching, a policy pack or a workshop to begin inside the cancellation period, I will ask you to request this expressly, and to acknowledge that once the service has been fully performed you lose the right to cancel. For a contract made away from my premises, that request and acknowledgement must be on a durable medium (an email or written confirmation). If you cancel after work has started but before it is complete, you pay a proportionate amount for what has been delivered up to the time you told me, compared with the full price, and I refund the rest within 14 days. That proportionate charge applies only if I obtained your express request and gave you the cancellation information above; otherwise you pay nothing for the period.

Policy pack. The policy pack is a service: tailored written documents, sent by email. The service cancellation rules above apply to it. If you are a consumer and ask for it before the 14 days are up, the early-start rule applies.

Booking confirmation. Your confirmation will set out this right, the model form, and the key terms of what you have bought, in a form you can keep.

Model cancellation form

To Carse AI (Noel Pope, hello@carse.dev): I hereby give notice that I cancel my contract for the supply of the following service: [service]. Ordered on [date]. Name of consumer: [name]. Address of consumer: [address]. Signature (only if sent on paper): [signature]. Date: [date].

5. Cancelling after the 14 days, and business bookings

For a booked date (audit, workshop, coaching session or on-site day), after any consumer cancellation period has ended:

Any amount kept is limited to my actual loss after any costs saved and reasonable efforts to rebook the time; the rest is refunded. Cancelling a setup that has started is covered in section 6.

6. Ending an ongoing agreement

Either side can end a setup or coaching agreement with 14 days' written notice. For a setup that has started, you pay for the work done up to the end date, as a proportion of the fixed price, and any deposit above that is refunded.

7. Availability

In-person work is delivered on booked days in Glasgow, Edinburgh and Stirling. Online work is available anywhere in the UK. Emails are answered within 2 working days. Your written scope says when fixes after handover are made.

8. Care and skill

The work is done with reasonable care and skill. AI tools can produce wrong output, so you should check it before relying on it. This does not excuse a defect in Carse AI's own work.

9. Data protection

Where Carse AI processes personal data on your behalf, a data processing agreement (UK GDPR Article 28) is signed first. It covers instructions, security, sub-processors, international transfers, breach help, and deletion or return of data at the end. AI tools you license directly (for example Microsoft 365 Copilot or ChatGPT Business) are your own suppliers under your contract with the vendor, not Carse AI's sub-processors; the agreement lists any sub-processors Carse AI itself uses. Carse AI keeps its own duties under data protection law. How Carse AI handles your own contact and billing data is in the privacy notice.

10. Confidentiality

Both sides keep the other's confidential information confidential, during the work and afterwards.

11. Ownership

You own the deliverables made for you once they are paid for. Carse AI keeps its templates, methods and course material; you get a licence to use training material inside your business.

12. Liability

Carse AI's total liability under a contract is capped at the sum stated in the written scope for that work (a solicitor will set the standard cap when these terms are reviewed). Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law, and nothing limits a consumer's statutory rights.

13. Third-party tools

AI tools and other software are subject to their vendors' own terms, pricing and outages. Carse AI isn't liable for a vendor's changes, but stays liable for its own setup work.

14. Expenses

Travel within Glasgow, Edinburgh, Stirling, Falkirk and the Lothians is included. Further afield: 45p a mile for the full return journey from Edinburgh, and accommodation at cost if needed, agreed in the proposal.

15. Complaints

If something is wrong, email hello@carse.dev with "Complaint" in the subject. I will acknowledge within 2 working days, look into it, and give you a written answer within 14 days (or tell you why it needs longer). If you are a consumer and we can't agree, you can use the Citizens Advice consumer service or take the matter to court.

16. Testimonials

Your name or comments are only used with your written permission.
